Catalytic Converter issue

I have a black 95 Impala and I believe I have a CC problem. I think this for two reasons, first being that the exhaust isn't coming out smooth, in the sense it's not coming out solid but more sputtering like, if that makes any sense. And lastly the car has trouble getting past about 2,700 rpm and it doesn't go into 3-5th gear. My buddy who's somewhat into cars was saying it was most likely the CC than a transmission issue. Any thoughts, before I go out spending what I'd imagine is a fair amount of cash.

Transmission.....converter? Why not a plain old misfire?
